In Reply To: jaytee's post @ Aug 1 2009, 03:40 PM G'day jaytee, Sadly, if they do manage to somehow restructure and salvage this, it is very unlikely that the shareholders will get anything for their shares. -------------------- Peace

In Reply To: moscowman's post @ Jun 29 2009, 09:22 PM Asinine merger in the first place; PLT just wanted FER's cash reserves. What does this say about the commercial judgement of the FER board when they do a backflip on the recommendation upon receiving the expert's advice? Blind Freddy could see that PLT were cash-strapped. A -------------------- LOL

So much for that idea.............
29 June 2009 Suzanna Dabski Companies Announcement Office Australian Stock Exchange Termination of Takeover Bid Implementation Agreement with Polartechnics Limited On 17 April 2009, Fermiscan and Polartechnics Limited (Polartechnics) announced that they had entered into a Takeover Bid Implementation Agreement relating to the proposed merger of Fermiscan and Polartechnics (Takeover Bid Implementation Agreement). The terms of the Takeover Bid Implementation Agreement provide that Fermiscan is entitled to terminate the Takeover Bid Implementation Agreement where the Fermiscan Board changes its recommendation in respect of the takeover offer made by Polartechnics (Offer) as a result of the Independent Expert concluding that the offer is neither fair nor or reasonable. As the independent expert has confirmed in the Independent Expert’s Report (annexed to Fermiscan’s Target’s Statement released to the market earlier today) that the Offer is “neither fair nor reasonable to Fermiscan Shareholders and option holdersâ€Â, and the Fermiscan Directors have recommended that Fermiscan Shareholders do not accept the Offer, Fermiscan has terminated the Takeover Bid Implementation Agreement in accordance with its terms. |

Hi all,
By now hopefully you will all have seen that the bidders statement was released on Friday: Polartechnics Bidder's Statement fo Fermiscan Shares It appears to be well put together, a very professional job ... well done Polartechnics ![]() A highlight IMO was a bit of news (compared to information previously released) on page 15: QUOTE Polartechnics has now established reliable monthly production of 50,000 TruScreen consumables, which is scalable to meet demand growth. The last figure that I remember was 20,000, so they've obviously done massive improvements in their manufacturing in China. Note also that they say 'which is scalable to meet demand growth' ... would this mean up to 50,000, or beyond? The target's statement should be released very soon, containing an independent expert's report, which should be very interesting. Cheers. ![]() |
