Isn't it about time Junior trotted out another Edison opinion piece? They have to justify their existence one way or another. If they can't do it themselves, then leave it to the fully paid up third party to put out a puff piece.

Junior must, by law, say something in the next week because it's that time of year again.

Let's see if he says anything about the internal M&A or anything else of interest or if he just talks his normal BS with a Covid mixer thrown in.

Maybe he can explain why he just won't M&A the two Arborgens.

If the talk of banning direct foreign investment comes to fruition what do you think Junior will do with his American registered subsidiary?

Sale time coming. For a peppercorn. And there is nothing the shareholders can do about it.

Don't know the intricacies of the details of the US wage subsidy but I would imagine that one way or another it puts Arborgen on the hook of the US government by making them a creditor of some sort. I am sure the money will come with conditions and conditions on those conditions.

That puts the interests of the creditor at odds with those of the shareholders.

Shareholders have no legal recourse to the assets of the subsidiary despite Junior's claims of the two companies being one. If the intended outcome for the two companies were the same he would have amalgamated them by now. It's not like he doesn't know how to after the Rubicon Forest merger.

So what's Juniors game exactly?

The stench of impropriety from Junior is getting stronger by the day. Today he declares he has taken down the wage subsidy from the Trump administration but when you check the NZ wage subsidy recipients database, ARB is nowhere to be seen. Even though they were able to keep the Te Teko operations going during lock down, why wasn't it necessary to draw down the NZ subsidy if its necessary to draw down the US one?

Eight days later on the 9th of April, Junior puts out his business update. Makes no mention of the amalgamation of the various entities, the resulting outcomes and what impact if any the actions will have on the business.

Makes me wonder if Junior is complying with his statutory continuous disclosure requirements.

It seems there is a lot going on at Arbo that Junior doesn't want to let on about. The Tenon payment was made and is to be deregistered pending no objections by the end of April. That kicked off a bit of M&A as per the document below. The strange part is, the registered address is different from that of its owner, Arborgen Holdings. Why would Junior want to have one of his subsidiaries located somewhere else? Different lawyers' addresses perhaps. All a little bit whiffy to me. To be expected when it comes to the Hughie and Luke Show.
