Placement made today. Settlement next week. Company not cracking on who the new holders are. If they are US venture capital funds then I would expect to see the price collapse before too long so they can up their stake.

Sabby, RA Capital and every other parasite Citi ever spawned come to mind.

Let's hope we get some transparency.

It's not a good look when at this stage of the game the best they can do is tell us about the next dog n pony show they are going to attend. They have been doing that for about 15 years now. But they were able to get a desk in someone else's office which is an endorsement of sorts.

Looks like there is a seller in the market. 13.5c kissed on volume. A prescient omen perhaps as the market begins to wobble a bit.

Someone really wants the closing price at 14c. Been very resilient at this level. Unlikely to go below unless a binary event unfolds in the data. Wouldn't expect it but sometimes these things are by design more than anything else.

Therefore today's closing may well be the final gong before being euthanized.

I would love to know how much influence Jardens strategic review recommendations had on dad's decision.

Will be amazing if they recommend a MBO and a reversal of a new entity into the shell.

It's like genius man. Where do they get these ideas from? It's the kind of thing I associate with Ron Brierley.

Looks like dad has packed it in as far as the board goes. That means he sees any more input from him on the MBO is not required or necessary. It also means that he is no longer conflicted and can therefore vote ~or sell~ his holdings as he sees fit so long as there is no professional requirement, policy or protocol post his departure which prevents this.

Clearly, he has no idea of what continuous disclosure means and the NZX can't be bothered either.

Read all about it. How to keep a company alive on life support, then take control and command the cash flows right before you do a deal.
Interesting take in bond report is the target company must have proprietary intellectual property and the ultimate owner is a Chinaman. In other words, its business as usual where the Chinese or the Americans take all the upside of someone else's hard work. You can bet your life that the end game for the target company is failure and bankruptcy so the main shareholder can buy it for nothing.
IMHO this does not look like a good.

As the AGM season gets closer and closer so must be the EGM notice for the MBO.

Obviously something is going on because they have said so and it has Jarden smack bang in the middle of it. The same outfit involved with PEB who let slip they have a cap. raise lined up but can't give the details out on it so they just deny it it instead.

Like my old mate slayer used to say; PYC. It's a tractor man.

Or as I say, if this were nuclear energy, PYC figured out the heavy water part of the equation making nuclear energy engineer-able. Later, Einstein quantified it.

But at the time, there were many different isotopes available to make the heavy water with but only one way to split the atom and unleash that energy.

So it is with RNAi delivery.

Plenty of different tractors, its the seed to be sewn that matters. But you still need a good tractor and not all tractors are the same. Some are actually better than others. Which makes PYC an attractive take over target.

A significant re-rate up or down coming. Otherwise a buy out. My guess, a buy out. Do you really think these guys can carry the weight of developing a drug by themselves when there are more than 3bn shares on issue for a market cap of $500m?
At 30c that is about a billion.

Here is an interesting piece of navel gazing by one of the HC pumptards called waynesworld. Supposedly, PYC has the technology to get an oligonucleotide through the endosome layer and deliver into the cell. They even have a patent for it but not if you believe what ARWR says. However, I wonder if in fact it could be where BLT's ddRNAi comes to the fore. If so, the all time lows Benitec is trading at now could prove to be the steal of the century. If you consider, ALNY once traded at seven bucks and is now two hundred, ARWR once crashed to a buck something and is now in the sixties. Next cab off the rank could well be Benitec.

ALNY have had a surreptitious presence on the board for some time. It has now moved to Merck.

When you look at the subsidiaries of ALNY, what stands out is no Down Under subsidiary. Neither in Australia nor NZ. Strikes me as odd that they can have subsidiaries all through Europe, the Americas and in Taiwan and Japan but they can't be bothered with Down Under. Yet they maintain a presence on the Board. Very odd.

I also note one of the subsidiaries is Sirna. A Merck mistake which they sold to ALNY. I can remember Merck bossing ALNY on a transaction for some IP once. It was the only time I ever saw ALNY back down from an IP fight.

I reckon it will be Merck or ALNY who swoops on PYC but it will be at a discount of a few limbs.

It was always ALNY who said ARWR didn't have anything of value despite them having use of PYC's endosome escape technology patent. So maybe ARWR are the developers and provers of it and ALNY just come along and take the cake when it suits them.

A spokeswoman for Rocket Lab said there were 499m shares following the closure of the Rocket Lab-Vector transaction, implying a market cap of just over US$5.2b at US$10.45 per share.

As his company's newly listed stock swooped up and down, Beck told CNBC he hasn't "really even been watching it. At the end of the day, we're in this for the long term."

Around 6000 Kiwis put money into the listing by buying shares in the already-listed Vector via Sharesies, Hatch and other platforms.

Beck had the option to redeem up to US$30m worth of stock options with the Vector transactions. This morning, a Rocket Lab spokeswoman said, "Peter did not exercise options, but rather sold a small fraction of his holdings in the Management Redemption."

The founder who holds around 13.1 per cent of stock - worth around US$676m ($955m) - earlier told the Herald that the Nasdaq listing would turn more than 100 past and present Rocket Lab staff into millionaires, while more than 180 would hold stock worth around $500,000 - thanks to shares being granted to "high performers" over the years.

Other local shareholders include ACC's investment arm, early Rocket Lab staffer Mark Rocket and Sir Stephen Tindall's K1W1, all of whom have holdings under the 5 per cent disclosure threshold (none would comment on whether they planned to sell shares with the listing). Other investors include US defence and aerospace giant Lockheed Martin, the Australian government's Future Fund and a clutch of Silicon Valley venture companies.

In a statement this morning shortly before Rocket Lab started trading under the ticker RKLB, the company said the closure of its transaction with Vector had raised US$777 million before listing expenses. Before the deal, Rocket Lab had around US$48m in cash.

Earlier this week, Beck confirmed to the Herald that some of the funds - expected to be a net US$48m - would be used to develop Rocket Lab's larger, crew-capable Neutron rocket, scheduled for its first launch in 2024.

"We also very strong thesis around mergers and acquisitions," Beck said.

"So we're looking to do more of that. So watch this space. Satellites and space systems is certainly an area that we're keen to focus more on."

In April last year, Rocket Lab bought Canadian company Sinclair Interplanetary for an undisclosed sum. Beck said the deal would accelerate development of Rocket Lab's Photon spacecraft - or "satellite bus" - which has two versions: one designed to manoeuvre satellites into low Earth orbit, the other for interplanetary missions.

Later this year, as part of a $14m contract, a Photon will ferry a Nasa satellite into lunar orbit. Rocket Lab also won a contract with the US space agency to design and build two Photons that will go into orbit around Mars in 2024 to study the Red Planet's atmosphere. A Photon is also slated to go to Venus in 2023 in a privately-funded mission.

Space systems only account for a tiny fraction of Rocket Lab's revenue today, but the company projects the segment will account for around 40 per cent of its revenue, which it has forecast to investors will grow from under US$100m today to more than US$1.57b by 2027 as it moves from making a loss today to operating earnings of US$505m by FY27.

<h2 class="article__heading">Beck: US listing good for NZ</h2>"It's a super exciting time for Rocket Lab, obviously," Beck told the Herald ahead of the opening bell.

"But I hope this is also somewhat of a symbol for New Zealand tech and New Zealand tech entrepreneurs.

"No, I just think it's, you know, it's a super exciting time for rocket lab, obviously. But I think, you know, we certainly hope that this is kind of somewhat of a symbol for New Zealand and taken you know, tech entrepreneur.

"I'd love to see many New Zealand companies follow in our footsteps and end up on the Nasdaq."

In a guest op-ed for the Herald, Beck said Kiwis should not shy from seeking investment from offshore, and going global.

"The benefits to New Zealand go far beyond just the space industry. The immediate Rocket Lab ecosystem has directly incubated startups founded by our engineers. I'm committed to investing in the businesses founded by our incredible team members and the Nasdaq listing only strengthens the ability to do so. Halter, Partly, Foundry Lab, Astrix Astronautics, and Outset Ventures are all examples of this, with many more expected to follow from the injection of capital into the hands of hundreds of smart, motivated young people," the one-time Fisher & Paykel apprentice wrote.

"It is only through our relationships with Silicon Valley that we've been able to shine a light on New Zealand technology and attract investors who have the funding, expertise, and networks to support our country's best ideas and most ambitious entrepreneurs. Several Rocket Lab investors have subsequently invested in other New Zealand companies, a trend we expect to see continue thanks to the profile our Nasdaq listing gives New Zealand overseas."

Rocket Lab's Neutron will launch exclusively from the company's new Launch Complex 2 in the US state of Virginia - in part to cater to the local-launch requirements of its two largest customers: the US military and Nasa.

But Beck added that the new rocket will be simply too large for NZ.

"The Neutron will initially launch out of the United States for industrial base reasons," the CEO told the Herald.

"To give you a sense of the scale, if we took all the liquid oxygen that's produced in New Zealand, we'd only fill half the tank, let alone all the other kind of logistics that are associated with these very, very large launch vehicles."

However, most Electron launches would continue to take place from Mahia, Beck said, and New Zealand would continue to host the majority of his company's staff, which today stands at around 600, with a hiriing drive aimed at lifting that to 700 in the near-term.

Merck v Integra gives safe haven for R&D use of others' patent. In other words, no licence needs to be taken. However, if a product is developed and commercialized then a licence must be taken and royalties paid, otherwise it is IP theft.

Emergency use authority would probably still be covered by these provisions. But, now that FDA approval has been granted, commercialization can begin. Meaning a licence must be taken. To that end, without knowing which of the seventy or eighty patents that make up the Pfizer vaccine belong to who I can only guess one of them might belong to BLT since the cause of action is primarily siRNA mediated. Or perhaps even PYC.

Therefore, these prices are bargain basement prices.

The trading in PYC reminds me of the trading in BLT before the big spike alllll those years ago now.

I think we can expect a take over bid soon.

BLT price spiked about 700% in a half hour. That would value PYC at about a buck.

With the Afterpay deal and today it's ZEL, A2M is surrounded by swirling rumours I am convinced the moment has arrived for BLT to finally be unleashed.

This sounds very complicated and convoluted in a circuitous way for a company carrying a market cap of just $3m.

Gee. I wonder if there is something they haven't told us.
I note the meeting anticipated to be held in early August still hasn't been held. Nor has any date or agenda been set for it. Perhaps it just isn't tracking the right way or perhaps its all down to covid lockdowns.

accordance with their terms).

The proceeds of the Capitalisation will be applied towards funding the
working capital requirements of BGI.

BGGL is the majority shareholder in BGI, and is therefore a "Related Party"
of BGI pursuant to the NZX Listing Rules. As such, BGI needs to obtain the
approval of its non-interested shareholders to the Capitalisation. In
addition, an Appraisal Report is required under the NZX Listing Rules to
accompany the notice of meeting of shareholders. The Capitalisation will be
a "Material Transaction" pursuant to the NZX Listing Rules. Further, BGGL is
an Associated Person of one of BGI's directors, Michael Chai, therefore,
shareholder approval to the Capitalisation is also required under NZX Listing
Rule 4.2.1.

BGI proposes to seek shareholder approval to the proposed Capitalisation at
the Annual Meeting of BGI, which is anticipated to take place in early August
2021.

TRS should be out of cash in just a few weeks. Either they have managed to find a business to back into this thing or not. I expect they have since the main shareholder was in the media the other day touting a financial services company he is involved with.

But I did also notice a whopping great big bond percentage wise relative to on hand cash and market cap being held by the NZX.

If the little boys club were an actual exchange and followed rules of insolvency they would have kicked this thing off years ago....but not if they can take a bond and collect fees.

The real question is, what has Jarden got cooking which they think is better than the worlds leading GE forestry company?
I know SKT have turned up on their doorstep with a transaction in the offing. Stuff got bought for a dollar a little while ago. I would not mind betting there will be some mega digital media company going into ARB at some point. Perhaps incorporating a digital warehouse with enough computing power for the likes of ARB to go to for some genomic sequencing and experimentation.

Strategic review after receiving an offer of a buyout. IPO on the cards. For the worlds leading GE forestry company! And nobody bats an eye.
You would think there would be some speculation on NZ's premier, market leading and incisive chat board, Sharetrader but alas, absolutely nobody has an interest in what might be despite precedent from Hughie n Luke with Capstone Energy which went to a nice ten bill'.
It's pretty plain to me and probably everyone else that the strategic review will culminate in a sell ARB (MBO in other words) and back in this other business which we (Jarden) think is better.

I have never seen anyone take a dance with ALNY and walk away with all their limbs intact.

Even though PYC has Mr. Real Estate and Hockings et.al. I can't imagine them being up to the game when it comes to picking a fight with big pharma and their G-men cronies.

The only outcome for PYC is to sell. The question is at what price? Or to re-phrase, how many limbs will it cost them to sell?

Though, the Afterpay transaction does confound this argument.

Went to one of the biggest, busiest and most profitable Bunnings in NZ and therefore the entire network this morning. I noticed the timber aisles are barren.

Couple of weeks ago I was talking to a guy from Napier. He said normally if he sees two ships waiting to get into port to pick up logs it's unusual. That morning he'd counted twelve!

Don't know what is going on but almost certainly, Made in China supply chains are going to be severely disrupted in the near future.

Bunnings et al and the punters are going to find out what a pineapple looks like. Lots of projects are going to come to a halt on material and labour shortages. When interest rates rise, watch out for the margin call on the banks.

Merck once paid $1.3bn cash for Sirna.

Take your pick as to which it will be. But technically, as we wait for data to deliver a binary outcome, the technicals indicate 8c is more probable. That suggests the data is a bust.

A tractor with no seed is just a vehicle. My old mate slayer would argue differently though.

I favour the 8c outcome when I remind myself of the AMGN - FPRX deal.

I am not medically qualified to say. For me the concern is how we are supposed to know which is better or worse when different economic zones are opting for different solutions to the same problem and the political leaders of the zone we are in choose one experimental solution which is providing empirical data of being worse than the disease while simultaneously stripping away the civil liberties of ordinary law abiding persons.

NZ Finance Minister has alleged China is behind some cyber attacks committed in NZ.

On June 21, nominations for directors were closed off. Then they announce a takeover bid occurred but didn't divulge details. Instead Junior says they will conduct a strategic review. In the meantime, Dimon n Co. have been pulling their Harry Houdini tricks. Fair to surmise the takeover party is Dimon n Co.

AGM notice is not forthcoming. But as far as director nominations are concerned, the AGM cannot be held sooner than two months after the closing date for director nominations and no later than three months.

That means the earliest, we can expect the MBO motion is early September due to the two week notice provision.

So, settle in and watch the Olympics because not much is going to happen in the meantime.

From the NZ Companies Act. Target month is September at the latest. Most likely August. Just like the HK dairy company I follow said it would be.

Company's constitution probably requires a two week notice period.

If anyone thinks the delays in the Novavax vaccine is due to anything else other than negotiations, most likely the North Atlantic FTA, they are deluding themselves.

To that end, it makes me wince when I think of all these people willingly lining up to take part in the greatest experimental drug trial ever conducted.
Those that can remember Benitec and Nucleonics will recall the outrage when the young boy, whose name I forget, died when injected with some of BLT's experimental serum. It set back RNAi drug development twenty years. And now, here we are twenty years later, undergoing worldwide experiments on different companies' drugs the same way BLT, Nucleonics did to the boy. Yet, there is still no commercial outcome in terms of licencing or M&A. Now, why is that?

But just to remind my old bile spewing mate 'loops, it's Independence Day this weekend. And if nothing happens in time for that, then you know the Americans aren't in control of the situation. After Independence Day we go into summer vacation time. Nothing ever happens during northern summer time.

So much for the twin company strategy where all the shareholders are locked out of any legal entitlement of the subsidiary.

Strange how they announced the closing date for director nominations this year but not last. That date was a week ago now but there isn't any AGM notice so far. To be fair though, last year they announced it on the same day as the annual report which was the 29th.

Here are the details on the loan forgiveness. It is a timely policy setting it would seem.
Guess that means we can expect a similar announcement soon about the second loan.

Another signal something is about to go down is yesterdays announcement about their government sourced loan being forgiven. Not repaid. Just wiped off the books by the swish of a pen. I don't know what is happening with these loans in general as a policy but if this forgiveness was specific to Arborgen rather than standard policy then there in lies a clue something is about to go down because it removes a very powerful creditor off the books.

It's a happy hunting ground for some. Have to ask why none of these companies wish to list on the NZX for growth capital. Something very wrong in the structural make up is my answer. The best NZX can offer up is a online grocer and a used car sales and finance company. If we get the FTA with the UK over the line maybe our sheep sales will be in demand again for proper purposes.

Gotta laugh at those HC pumptards. They're hamming up ARWR as if it's the next big thing and therefore good for PYC. People forget that when their SP collapsed to a dollar something and every drug trial they had underway worldwide got scratched. All that is except for one. The one underway at Auckland University Medical School and the associated hospital.

Now why is that? Like, what's ARWR to Auckland University? AU not even in the top 100 universities of the world.

Well, I don't actually know the answer but long time readers will remember Enumatit waxing on about how he bumped into OMD in the streets around Auckland University and how forthcoming he was with information about PYC trials when PYC was saying OMD was hard at work in the bowels of their lab. I read somewhere that the PFE vaccine contains over 80 different patents with probably just as many patent owners. In other words, the PFE patent is not owned by PFE.

Who is clipping the ticket on these patents for the vaccine? Biontech was their partner and it was said to have been developed by them. But nobody knows who owns the patents they used.
Merck v Integra stipulated the parameters for safe harbour use until commercialization. The funny thing is, deploying the vaccine under EUA conditions probably, somehow sidesteps this decision and can therefore sidestep the royalties and other commercial issues.

Thus, no deal so far. But only two weeks to go before Independence Day.

It's been my observation over a long time that when a company feels a need to tell the market things like, we got some desk space in another company's office, in other words a blah irrelevant statement, then there isn't much happening or going to happen.

To see these suspicions reinforced with long dated options at current share prices for new directors and Junior cashing out his options at same prices and all so soon after the AMGN-FPRX then you know it's game over.

What's the bet the dross report will be all about Covid and the impact of it upon planting and harvesting.

I would like to know what they are doing about publishing or verifying engineering data on structural strengths of harvested trees.

I mean, isn't the whole purpose of growing a GE tree to change the production possibility frontier of the forestry and pulp and paper industries?

If you have a fungible product that is superior in its inherent properties and can be harvested in half the time you're going to be on a winner.

Do you think Junior will be sharing this with holders? The holders who are are legally locked out of the subsidiary where all the bizdev is being done? I don't think so.

Watch out for the MBO of the subsidiary and the backing in of some other outfit.

Aren't they trying to outlaw buybacks in US? Deemed to be an inefficient use of capital. Better to put the money into shareholders' pockets, upgrade capital or integrate something for scale and scope.

Buybacks usually allow the execs' options to be in the money come expiry with no fundamental improvement in business.

14c hit! 12c is on its way...and quickly...unless something happens.

Sell in May and go away.

Who knows what though? Let's hope its the boss's birthday soon and he wants to celebrate something. Something like his long dated 17c options being in the money. Let's hope the strategy isn't for this thing to wither on vine to dried up shell.

She has said she could not live with her conscience if she jumped the queue ahead of those more deserving in the lower socio-economic zones or front line staff. Instead she will wait until the mass roll out starts in July. However, I have also read, vaccine supplies will be critically low at the end of June and the necessary infrastructure is well behind its build schedule.

Sounds like a good excuse.

Meanwhile, the most efficacious vaccine of them all, Novavax', is denied by the regulators and authorities because of political might.

And still the AZ vaccine is produced and administered in Australia despite an increasingly overwhelming body of evidence showing harm.

Hope this is nothing to do with mully. But if the authorities were on their game, it wouldn't be anything to do with anyone.
Meanwhile, the most efficacious and safe vaccine of them all sits in limbo awaiting the green light from authorities: Novavax. You just have to wonder how much political will is overriding sound science in this game.

Most likely someone will chime in with an asinine comment along the lines of, probably just wanted the time off work or some other nonsense.

Won't say who, but someone on this thread will probably chime in with some kind of moronic statement like, they had it coming anyway, or just wanted to claim the insurance, or should've known better.

All I can say is, if my wife and/or daughter got their vaccine recently, make sure they don't conceive for quite some time. You might end up with a lifetime of hurt for being a good and dutiful warrior.

Shucks. Of course there is no link. That's code for, prove it. But the odds are, if the vaccine had not been administered the patient would still be alive. That he isn't after the event isn't because of the vaccine though. That's just bad luck.

Closing price sitting on the 100 day MA in the middle of May just as JCC's new company is subject to a takeover and another one is underway at BLD.

Perhaps we will see one here but I have been told there will be one at CSL.

30c takes it to about a billion. Or about 30c will take it to a billion. MRK buying Sirna for US$1.1bn was the high tide mark.

Anyone will take a 100% premium and the real estate guy will be thinking, why did I ever bother with real estate?
