Did breach their own constitution it should say. By having the closing date for directors so late it put them under the two month directive. But that is only if they hold the AGM at Sept. end. Any earlier and its blatant. Any later, they need the waiver to hold the AGM later than statute allows.
All very strange. But its not as if the NZX, FMA or anyone else is going to give a rats and actually do anything about it.

There is something definitely funny going on here. We still haven't had a AGM notice despite the call for directors closing on the 6th.

The Companies Act requires a AGM to be held no more than six months after the accounting period. In this case that's September end.

Usually, a company's constitution requires the close of director nominations to be between two and three months ahead of the AGM. Not earlier and not later than.

The AGM notice must be no less than two weeks before the AGM. Still time there. About three weeks.

Unless the constitution is different from the norm or they have received an undisclosed NZX waiver, then they are in breach of their own constitution.

It's strange they are providing any notice at all about anything. They haven't done so for a long time.

The sooner this pox is given its medicine the better.

I forgot there is that old chestnut of a NZX waiver. The one which grants them a delay in whatever they choose and the need to keep the market informed. Which ultimately means, they can do whatever they want without telling anyone as long as the boys in the club at the NZX are in on the take.

So buckle up. This carbunkle is only set to get worse. Question is how far will the infection spread.

On the 6th of August, nominations for directors closed. That was a week ago. So far, there is no word on who they are or when the AGM will be held so they can be voted in.

Last year, the AGM was held in late September. No notice was given to the NZX. Nor were nominations for directors called for.

Definitely, there is something different about the lead in to this AGM from all others.

Notice for which must be given in accordance with the Constitution of the company. Usually that is two weeks. Statute requires six. That makes the 19th of this month the earliest we will hear anything. But the Constitution trumps that. Which makes 16th of Sept. the latest.

I am guessing we will finally get details of the years in gestation deal they have alluded to so often in time for the AGM.

Thank God for that. This thing is an eyesore.

With all the SSH notices in the last couple of days and most importantly the seller being that Chinese crook, I think we have a signal that finally, TRS may be getting ready for their years in the making transaction. Lets hope so. This is an absolute carbunkle and total embarrassment to the NZX. It should not even be listed.

I guess we will have to wait for their prelim. to be released sometime late this month for news on anything. Most likely it will be no more than a update coming shortly comment.

It is a complete pox on the NZX these people are even allowed to be listed.

Still nothing out of this carbunkle. What a blight it is for the NZX. Now with this virus thing going on, you wonder if they will ever be able to do anything.
In cases like TRS, I definitely support the euthanasia bill.

Nearly three months ago this pox said they would have something to say in the "near future" about the deal they have been working on for about three years. I wonder what kind of dimension they live in.
