Corporate Overview

Perseus Mining Limited (Perseus) was formed in late 2003 to explore and develop several significant gold projects located in West Africa and Central Asia. There is the potential to discover major gold deposits on a number of identified targets within the portfolio. Perseus listed on the Australian Stock Exchange on 22 September 2004.

Vision

By March 2005 Perseus aims to make a significant discovery on one or more of its four most advanced gold projects with the further objective that, by December 2006, at least two projects are sufficiently advanced to proceed to pre feasibility assessment.

The longer term goal is to generate cash flows from gold production sufficient for internal growth and regular returns to shareholders.

Mission

Perseus is a gold explorer focussing in West Africa and the Kyrgyz Republic. It has specific exploration programs, budgets and joint ventures in place to maximise the likelihood of discoveries and progress towards gold production.

Projects

Perseus was incorporated in October 2003 to acquire, explore and develop several significant gold projects located in West Africa and Central Asia. The West African projects have been acquired from Afminex (which has turned its focus to oil exploration), whilst the Central Asian (Krygyz Republic) properties have been assembled by Perseus with assistance from Afminex and its Kyrgyz minerals industry contacts.

Perseus has targeted regions which:

Perseus plans to undertake exploration on the projects not joint ventured to Lalo, as well as, in the future, contribute to expenditure on Kyldoo and Savoyardy. Exploration expenditure will be dominated by drilling.

EU-Kyrgyzstan bilateral relations

A Partnership and Cooperation Agreement (PCA) has been the legal framework for EU-Kyrgyzstan bilateral relations since 1999. In July 2003 the 5th yearly meeting of the EU-Kyrgyzstan Cooperation Council took place in Brussels. In spite of the very small volumes of bilateral trade and of EU investment in the country there is an expert level Subcommittee on Trade and Investment in place, which will meet for the fifth time on 25 March 2004. The senior official level Cooperation Committee holds its 5th meeting on 26 March 2004 in Bishkek.

ATextiles Agreement is the only trade agreement currently in place between the EU anKyrgzystan.

The EU-15 is represented in the Kyrgyz Republic by the Embassy of Germany , as well as a local office in Bishkek of the Commission Delegation in Almaty accredited to Kazakhstan, the Kyrgyz Republic and Tajikistan.

Following its debut on the Australian Stock Exchange on 22 September, Perseus is commencing active exploration programs on its highly prospective West African and Kyrgyz Republic gold projects.

Tengrela ÃÆâ€â„¢ÃƒÆ’ƒâ€Â ÃƒÆ’¢Ã¢Ã¢â‚¬Å¡Ã‚¬Ãƒ¢Ã¢â‚¬Å¾Ã‚¢ÃƒÆ’ƒÆ’â€Å¡Ãƒƒâہ¡ÃƒÆ’‚¢ÃƒÆ’Æâ€â„¢ÃƒÆ’ƒâہ¡ÃƒÆ’‚¢ÃƒÆ’¢Ã¢Ã¢Ã¢Ã¢â‚¬Å¡Ã‚¬Ãƒâ€¦Ã‚¡ÃƒÆ’‚¬Ãƒâ€Â¦ÃƒÆ’‚¡ÃƒÆ’â€Å¡Ãƒƒâہ¡ÃƒÆ’‚¬ÃƒÆ’Æâ€â„¢ÃƒÆ’ƒâہ¡ÃƒÆ’‚¢ÃƒÆ’¢Ã¢Ã¢Ã¢Ã¢â€š¬Ã…¡Ãƒâ€šÃ‚¬ÃƒÆ’…¡Ãƒâہ¡ÃƒÆ’‚¬ÃƒÆ’â€Â¦ÃƒƒÂ¢Ãƒ¢Ã¢Ã¢â€š¬Ã…¡Ãƒâ€šÃ‚¬ÃƒÆ’…âہ“ Ivory Coast, West Africa

A six month exploration program planned to test nine prospect areas within a 60km portion of the Syama-Boundiali greenstone belt and Syama Shear will commence within two weeks with infill soil sampling and pitting of the identified anomalies. Subject to inspection of the RAB drilling rig on site by the Perseus exploration supervisor, it is anticipated that an initial 3,000 metre drilling program will commence in early November. The exploration program, which is testing nine significant soil anomalies in a region that historically has a high conversion rate of such anomalies to gold deposits, is expected to include 13,000 metres of drilling over six months.

Grumesa ÃÆâ€â„¢ÃƒÆ’ƒâ€Â ÃƒÆ’¢Ã¢Ã¢â‚¬Å¡Ã‚¬Ãƒ¢Ã¢â‚¬Å¾Ã‚¢ÃƒÆ’ƒÆ’â€Å¡Ãƒƒâہ¡ÃƒÆ’‚¢ÃƒÆ’Æâ€â„¢ÃƒÆ’ƒâہ¡ÃƒÆ’‚¢ÃƒÆ’¢Ã¢Ã¢Ã¢Ã¢â‚¬Å¡Ã‚¬Ãƒâ€¦Ã‚¡ÃƒÆ’‚¬Ãƒâ€Â¦ÃƒÆ’‚¡ÃƒÆ’â€Å¡Ãƒƒâہ¡ÃƒÆ’‚¬ÃƒÆ’Æâ€â„¢ÃƒÆ’ƒâہ¡ÃƒÆ’‚¢ÃƒÆ’¢Ã¢Ã¢Ã¢Ã¢â€š¬Ã…¡Ãƒâ€šÃ‚¬ÃƒÆ’…¡Ãƒâہ¡ÃƒÆ’‚¬ÃƒÆ’â€Â¦ÃƒƒÂ¢Ãƒ¢Ã¢Ã¢â€š¬Ã…¡Ãƒâ€šÃ‚¬ÃƒÆ’…âہ“ Ghana, West Africa

A two phase drilling program consisting of approximately 2,900 metres of RC and 200 metres of core drilling on the Grumesa project will commence within 7 days. The 74 RC drill hole program is designed to infill and extend the 70,000 ounce higher grade portion of the 450,000 ounce Kayeya gold resource. The diamond drilling is designed to provide sample material for further metallurgical testwork. The drilling will enable a resource upgrade on the higher-grade portion of the deposit. It will be followed by a mining feasibility study investigating the potential of trucking ore grade material to a nearby processing plant.

Savoyardy ÃÆâ€â„¢ÃƒÆ’ƒâ€Â ÃƒÆ’¢Ã¢Ã¢â‚¬Å¡Ã‚¬Ãƒ¢Ã¢â‚¬Å¾Ã‚¢ÃƒÆ’ƒÆ’â€Å¡Ãƒƒâہ¡ÃƒÆ’‚¢ÃƒÆ’Æâ€â„¢ÃƒÆ’ƒâہ¡ÃƒÆ’‚¢ÃƒÆ’¢Ã¢Ã¢Ã¢Ã¢â‚¬Å¡Ã‚¬Ãƒâ€¦Ã‚¡ÃƒÆ’‚¬Ãƒâ€Â¦ÃƒÆ’‚¡ÃƒÆ’â€Å¡Ãƒƒâہ¡ÃƒÆ’‚¬ÃƒÆ’Æâ€â„¢ÃƒÆ’ƒâہ¡ÃƒÆ’‚¢ÃƒÆ’¢Ã¢Ã¢Ã¢Ã¢â€š¬Ã…¡Ãƒâ€šÃ‚¬ÃƒÆ’…¡Ãƒâہ¡ÃƒÆ’‚¬ÃƒÆ’â€Â¦ÃƒƒÂ¢Ãƒ¢Ã¢Ã¢â€š¬Ã…¡Ãƒâ€šÃ‚¬ÃƒÆ’…âہ“ Kyrgyz Republic

A diamond drilling rig has arrived on the Savoyardy project. A delay due to late commencement of road works meant that the target zones for a planned ten hole drilling campaign has not yet been reached. However, mineralisation encountered 700m south-west of Pogranichnoe was found to contain anomalous gold grades of up to 0.1 and 1.1g/t Au in four sub-zones totalling 26m in width in surface exposures. A two hole drilling program is planned to test this zone subject to continued favourable weather. The 600m long Pogranichnoe zone is located 2.7km south-west of the Savoyardy zone, where high grade gold mineralisation ranging up to 12.4g/t over 13m has been delineated in adit sampling below low grade mineralisation at surface.

In view of the delays, joint venture partner, Lalo Ventures Ltd (ÃÆâ€â„¢ÃƒÆ’ƒâ€Â ÃƒÆ’¢Ã¢Ã¢â‚¬Å¡Ã‚¬Ãƒ¢Ã¢â‚¬Å¾Ã‚¢ÃƒÆ’ƒÆ’â€Å¡Ãƒƒâہ¡ÃƒÆ’‚¢ÃƒÆ’Æâ€â„¢ÃƒÆ’ƒâہ¡ÃƒÆ’‚¢ÃƒÆ’¢Ã¢Ã¢Ã¢Ã¢â‚¬Å¡Ã‚¬Ãƒâ€¦Ã‚¡ÃƒÆ’‚¬Ãƒâ€Â¦ÃƒÆ’‚¡ÃƒÆ’â€Å¡Ãƒƒâہ¡ÃƒÆ’‚¬ÃƒÆ’Æâ€â„¢ÃƒÆ’ƒÂ¢Ãƒ¢Ã¢Ã¢â€š¬Ã…¡Ãƒâ€šÃ‚¬ÃƒÆ’‚¦ÃƒÆ’¢Ã¢Ã¢Ã¢Ã¢â‚¬Å¡Ã‚¬Ãƒâ€¦Ã‚¡ÃƒÆ’‚¬Ãƒâ€Â¦ÃƒÆ’¢Ã¢Ã¢â‚¬Å¡Ã‚¬Ãƒâ€¦Ã¢â‚¬Å“LaloÃÆâ€â„¢ÃƒÆ’ƒâ€Â ÃƒÆ’¢Ã¢Ã¢â‚¬Å¡Ã‚¬Ãƒ¢Ã¢â‚¬Å¾Ã‚¢ÃƒÆ’ƒÆ’â€Å¡Ãƒƒâہ¡ÃƒÆ’‚¢ÃƒÆ’Æâ€â„¢ÃƒÆ’ƒâہ¡ÃƒÆ’‚¢ÃƒÆ’¢Ã¢Ã¢Ã¢Ã¢â‚¬Å¡Ã‚¬Ãƒâ€¦Ã‚¡ÃƒÆ’‚¬Ãƒâ€Â¦ÃƒÆ’‚¡ÃƒÆ’â€Å¡Ãƒƒâہ¡ÃƒÆ’‚¬ÃƒÆ’Æâ€â„¢ÃƒÆ’ƒÂ¢Ãƒ¢Ã¢Ã¢â€š¬Ã…¡Ãƒâ€šÃ‚¬ÃƒÆ’…¡ÃƒÆ’â€Å¡Ãƒƒâہ¡ÃƒÆ’‚ÂÂ), has been given extra time to complete its farmin commitments. Lalo now has until 30 June 2005 to spend a minimum of US$250,000 on exploration. It may then elect to spend a further US$750,000 by 31 December 2005 to maintain its farmin rights. To earn 70% equity, Lalo is required to spend a total of US$2 million by 31 December 2006, US$3 million by 31 December 2007 and US$6 million by 31 December 2008.

The Manager
Company Announcements Office
Australian Stock Exchange Ltd
4th Floor, 20 Bridge Street
SYDNEY, NSW 2000

Dear Sir

ANNUAL GENERAL MEETING

The Australian Securities and Investments Commission has agreed to extend the time by which
the Company must hold its annual general meeting from 30 November 2004 to 10 December
2004. The Company advises that its first annual general meeting will be held on Friday, 10
December 2004 at the Holiday Inn City Centre, 788 Hay Street, Perth at 11am.

The extension was sought in view of the Company's recent (mid to late September 2004)
transition from a public unlisted company to a listed entity, which put intense pressure on the
Company's administrative and accounting resources. This made it difficult for the Company to
convene the annual general meeting by 30 November 2004. The Company notes that the
material matters to be dealt with at the 10 December 2004 meeting, including the content of the Financial Report for the period ended 30 June 2004 are matters that were disclosed in detail in the Company's prospectus dated 14 July 2004.

Yours faithfully

SOIL SAMPLING RESULTS AT MALY NARYN PROJECT

(Kyrgyz Republic - Perseus 100%)

HIGHLIGHTS

ÃÆâ€â„¢ÃƒÆ’ƒÂ¢Ãƒ¢Ã¢Ã¢â€š¬Ã…¡Ãƒâ€šÃ‚¬ÃƒÆ’…¡ÃƒÆ’â€Å¡Ãƒƒâہ¡ÃƒÆ’‚· Soil sampling at the Maly Naryn project has defined a 4.5km long zone of anomalous gold, copper, bismuth
and arsenic in soil associated with a granodiorite-limestone contact.

ÃÆâ€â„¢ÃƒÆ’ƒÂ¢Ãƒ¢Ã¢Ã¢â€š¬Ã…¡Ãƒâ€šÃ‚¬ÃƒÆ’…¡ÃƒÆ’â€Å¡Ãƒƒâہ¡ÃƒÆ’‚· Peak soil values include 15.8g/t Au, 1.2% Cu and 0.08% Bi with samples exhibiting good repeatability and
strong continuity.

Analytical results have been received for 616 soil samples collected over 21.5 sq km on the Maly Naryn project in the Kyrgyz Republic.

A significant number of the samples contain anomalous gold, copper, bismuth and arsenic. Of the 616
samples, 97 contained more than 50ppb Au and 44 contained more than 100ppb (0.1ppm) Au, with a peak
of 15.8g/t Au. Gold values exhibit good repeatability and anomalies generally show strong continuity
between sample lines.

The strongest zone of soil anomalism is associated with a granodiorite ÃÆâ€â„¢ÃƒÆ’ƒÂ¢Ãƒ¢Ã¢Ã¢â€š¬Ã…¡Ãƒâ€šÃ‚¬ÃƒÆ’…¡ÃƒÆ’â€Å¡Ãƒƒâہ¡ÃƒÆ’‚ limestone contact zone extending
for 4.5km. Gold and other metals are shedding from both the granodiorite and the altered limestone. Soil
cover in the area is residual and outcrop is abundant. Rock chip sampling in the 1960s was limited and
focused to skarn outcrops outside the strongest soil anomalies. Sample results from this time included 3m
at 2.8g/t Au, 1.76% Cu and 1m at 10.4g/t Au, 5.4% Cu. Follow-up exploration next field season will
comprise outcrop channel sampling and infill soil sampling.

The Maly Naryn licence is located in the central eastern part of the Kyrgyz Republic and covers a window of Vendian aged rocks located 130km west of the Kumtor Gold Mine. Maly Naryn is notable for alluvial gold deposits and the vast areas of intense alteration associated with Permo-Carboniferous intrusives.

Soviet era exploration focused mainly on alluvials but limited rock chip sampling returned a number of
high grade gold assays which were never followed up.

Hi Brantley

A geologist from another gold exploration company recommended PRU to me.

Massive potential after having taken a look. I like that it is largely overlooked by the market as I buy mining companies with great prospects but have flown under the radar. Wait for the eventual re-rating.

Any of its prospects in Central Asia or West Africa could turn out to be multi-million ounce mines and based on preliminaries, it looks like probably two or more will be.
